Information is the lifeblood of every informed investment decision, which is why astute stock investors scour through quarterly and annual financial reports and other sources to get transparent and timely insights about the company and its performance and future prospects.

Without access to this data, investors would need to base their decision to buy, sell or hold a stock purely on speculation, rumours, or trends, which would significantly increase risk.

JSE Reporting Requirements

Listed companies are also governed by a set of rules and regulations that outline their mandatory reporting and disclosure requirements – failure to comply can result in a range of penalties from the JSE and the Financial Sector Conduct Authority (FSCA).

These can include public or private censures, financial penalties, and suspension or termination of its listing. Directors may also face penalties, such as disqualification from holding directorships in other listed companies.

Investor Relations

Meeting these reporting requirements falls to a company’s investor relations department, which acts as the crucial communication link between a company and the investment community, including retail investors.

The investor relations team is responsible for coordinating shareholder meetings, releasing financial data, publishing reports, and providing ongoing updates about any significant developments.

This regular flow of information ensures retail investors have access to the same material information that institutional investors see, allowing them to form an informed judgment about a company’s value and create a fair marketplace.

The information that the investor relations team shares includes the company’s financial and broader strategic direction. This is important as it helps investors understand management’s long-term objectives and how the company plans to address market conditions or crises, rather than focusing purely on short-term stock price movements.

This information is typically communicated through quarterly and annual reports:

  • Annual Reports: Provide a complete picture of the previous year, including the financial statements (Balance Sheet, Income Statement, Cash Flow Statement) and the management’s discussion and analysis. This allows investors to evaluate profitability, stability, and growth over time.
  • Quarterly Reports (or interim results): Offer a more frequent update, allowing investors to track performance against expectations and identify recent operational success or emerging financial risks.

Consistent and transparent communication from the investor relations department helps build credibility and trust, and signals that a company is committed to good governance.

The Information Feed

But it’s not just the company website where investors can find this information. One of the most reliable and important sources of information for any stock investor is the Stock Exchange News Service (SENS), available via the JSE Client Portal.

SENS is the official regulatory news service of the JSE and is used by listed companies to publish all market announcements.

It provides an official and reliable source of information, serving as an essential mechanism for transparency, fair valuation, and informed decision-making, while meeting the regulatory requirement for all listed companies to use SENS for the timely disclosure of all information relevant to investors.

Meeting this regulatory obligation ensures that the market operates transparently and protects investors by preventing the selective disclosure of information.

SENS announcements cover critical, time-sensitive events like:

  • All price-sensitive information, such as quarterly and annual financial results.
  • Dividend declarations.
  • Trading updates (warnings or positive forecasts).
  • Results and outcomes of general meetings.
  • Changes to the board or major corporate actions (mergers, acquisitions, share buybacks).
  • Cautionaries to alert shareholders to significant, pending corporate events that could impact the share price.

The level of effort a company puts into its SENS announcements can also be an indicator of its commitment to transparent communication.

Informed Investing

Having a central, real-time platform for this information ensures all investors receive it simultaneously, preventing insider trading and ensuring a level playing field.

By monitoring SENS, retail investors can stay up to date and informed with material events that directly impact their investments. This information is crucial for making timely, well-informed decisions based on verified facts and audited financials.

By leveraging the resources and transparency provided by investor relations departments and SENS, South African retail investors can navigate the market with greater confidence and make decisions grounded in comprehensive, official information.

Information correct at time of publishing. It is important to conduct thorough research and analysis using a combination of fundamental and technical analysis techniques to make informed trading decisions.
